End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and R Gupta Consultancy Services Inc., an Ontario corporation operating as GridOwl ("Company", "RGCS", "we", "us"), for the use of the GridOwl temperature monitoring platform ("Application"), including any associated mobile applications, web applications, and services.

By downloading, installing, or using the Application, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download, install, or use the Application.

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• •Download and install the Application on devices owned or controlled by you.
• •Access and use the Application for your organization's internal business purposes in connection with a valid GridOwl subscription.

This license is granted for the duration of your active subscription and may be terminated in accordance with the Termination section below.

You agree not to:

• •Copy, modify, or distribute the Application or any part thereof.
• •Reverse engineer, decompile, or disassemble the Application.
• •Rent, lease, lend, sell, or sublicense the Application.
• •Use the Application for any unlawful purpose or in violation of food safety regulations.
• •Attempt to gain unauthorized access to any part of the Application or its related systems.
• •Remove, alter, or obscure any proprietary notices on the Application.
• •Share your account credentials with unauthorized individuals.

Access to the Application requires an account provisioned by your organization's administrator. You are responsible for:

• •Maintaining the confidentiality of your login credentials.
• •All activities that occur under your account.
• •Notifying your administrator immediately of any unauthorized use.

GridOwl is a managed service provided on a subscription basis. Subscription terms, pricing, and payment are governed by the service agreement between your organization and R Gupta Consultancy Services Inc. The mobile application is provided free of charge as part of the subscription service — there are no in-app purchases or additional fees for using the mobile app.

Your organization retains ownership of all data generated through the use of the Application, including temperature readings, compliance reports, and audit logs. We do not claim ownership of your data. For details on how we handle your data, please refer to our Privacy Policy.

Sensor hardware is owned by GridOwl and provided as part of the managed service. For details, see our Hardware Warranty page.

The Application and all related intellectual property rights are and remain the exclusive property of R Gupta Consultancy Services Inc. This EULA does not grant you any rights to our trademarks, logos, domain names, or other brand features.

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While GridOwl is designed to assist with HACCP compliance monitoring, the Application does not replace professional food safety management, qualified HACCP personnel, or regulatory compliance expertise. Users remain solely responsible for ensuring food safety compliance within their operations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL R GUPTA CONSULTANCY SERVICES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.

Our total aggregate liability shall not exceed the amount paid by your organization for the GridOwl service in the twelve (12) months preceding the claim.

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.

We may also terminate or suspend your access to the Application at any time, with or without cause, with or without notice. If your organization's subscription expires or is cancelled, your access to the Application will be terminated.

This EULA shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

The following additional terms apply when you download the Application from the Apple App Store:

• •This EULA is between you and R Gupta Consultancy Services Inc. (operating as GridOwl) only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Application or its content.
• •Apple has no obligation to provide any maintenance or support services for the Application.
• •In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation with respect to the Application.
• •Apple is not responsible for addressing any claims relating to the Application, including product liability claims, consumer protection claims, or intellectual property infringement claims.
• •Apple and its subsidiaries are third-party beneficiaries of this EULA, and Apple will have the right to enforce this EULA against you as a third-party beneficiary.
• •You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

Severability. If any provision of this EULA is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement. This EULA, together with the GridOwl Terms of Service and Privacy Policy, constitutes the entire agreement between you and RGCS regarding the Application. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall govern.

Assignment. You may not assign or transfer your rights or obligations under this EULA without the prior written consent of RGCS. RGCS may assign this EULA in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent.

Waiver. The failure of RGCS to enforce any provision of this EULA shall not constitute a waiver of that provision or the right to enforce it at a later time.

Force Majeure. RGCS shall not be liable for any failure or delay in performing its obligations under this EULA due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, cloud infrastructure provider outages, pandemics, or acts of terrorism.
